Catalog description

This course studies the federal income tax laws that apply to the formation, operations, and termination of pass-through entities with a particular emphasis on General Partnerships, Limited Liability Companies, and S Corporations. Topics include distributions, sales and exchanges of equity interests, liquidations, transactions with owners, international taxation of pass-through entities, and tax planning strategies. The course will also review recent case law and IRS promulgations that will update the student on current developments of flow-through entities.
