Corporate Loan Transactions

Catalog description
A primary component of a company's capital structure is the debt financing it receives from banks and other financial institutions in the form of corporate loans. This course will cover the basics of corporate secured lending transactions and will examine in detail the principal agreements governing the deal terms and relationships between borrowers, lenders and other credit parties, including credit agreements, security agreements, guarantees, commitment letters and term sheets. It will also cover the various laws and cases related to such transactions, and the importance of lawyers in this complicated process. Prerequisite(s): LAW 7060 and LAW 7060 .
