Catalog description

The nature, formation, promotion, governance, and financing of corporations; issues that must be addressed when people decide to engage in business using the corporate form of organization; relations between management and shareholders; control problems in close corporations; the role of shareholders in publicly held corporations; social concerns and their relationship to principles of corporate governance; fiduciary duties of directors; the impact of selected federal securities laws on the governance and operation of corporations and the trading of securities; an introduction to transactions in corporate control. Designed so that students with no background in business can acquire an understanding and appreciation of the basic vocabulary, legal concepts and analytical skills. There will be an accounting exam during the semester in addition to a final exam at the end of the term. Tested on the Bar Exam.
