When a company falters - perhaps it can't pay its debts as they become due, or the company's fundamental business model has become unprofitable - what can it do to turn its fortunes around? This course will explore one answer to that question: the company can file for bankruptcy under the Bankruptcy Code, which Congress enacted in 1978. Contrary to public perception, bankruptcy doesn't necessarily spell the end for a company; to the contrary, it can give the company a new opportunity to rally its stakeholders and forge a path forward. This course will provide an overview of the Bankruptcy Code as it applies to distressed businesses. The course will devote the lion's share of its attention on Chapter 11 of the Bankruptcy Code, which governs the process by which companies can restructure or reorganize their affairs. The balance of the course will explore Chapter 7 (liquidation of businesses) and Chapter 15 (recognition of foreign insolvency proceedings) of the Bankruptcy Code.
