Catalog description
This course will build on the material covered in a basic business associations class to flesh out some of the more complex topics, and to cover more advanced areas like venture capital/startups and mergers and acquisitions that introductory business associations cannot cover. The class will be in three, related sections. The first section of the class will focus on corporate governance in public companies, including shareholder vs. board power, fiduciary duties, controlling shareholders, and investor activism. The second section of the class will look at startups and closely held entities, discussing venture capital and private equity arrangements, fiduciary duties in those contexts, and exit strategies like buyouts and IPOs. The final section of the class will look at mergers and acquisitions, including how to structure the transactions, fiduciary duties and defensive measures, and deal documents and negotiations.
