Business Organizations II expands the coverage of Business Organizations I by focusing on the publicly held corporation. Coverage examines the rights and duties of corporate officers, directors and shareholders; the federal regulation of publicly held corporations (including securities fraud, insider trading, short swing profits and proxy rules); mergers and acquisitions; and sale of corporate control. (Pre-requisite: Business Organizations I).
