Catalog description

Credits 2 to 3. 2 to 3 Lecture Hours. Examination of legal issues related to corporate mergers and acquisitions; mechanics and structure of merger and acquisition transactions, shareholder rights, fiduciary duties, federal securities laws, accounting and tax issues, anti-takeover defenses and antitrust considerations. Prerequisite: One year of law school in the full-time or part-time program; LAW 7056 or concurrent enrollment.
