Catalog description

This course examines the laws governing modern business entities, including agency, general and limited partnerships, and limited liability companies. The course also examines legal issues relevant to the control and management of a closely held corporation as well as a focus on public corporations. The course will consider the special needs businesses have relative to financing, and the impact of federal and state laws and regulations governing the formation, management, financing, liability, and dissolution of different business enterprises. Finally, this course serves as a gateway to further study of transactional and business law through other elective courses.
