Catalog description

This course builds upon the principles taught in Business Entities I and II. Taught by a Delaware Superior Court Judge, who is currently assigned to the Superior Court's Complex Commercial Litigation Division ("CCLD"), the primary emphasis of the course will be reviewing the current litigation trends in business and corporate litigation in a practical way. The course will involve hands-on discussions of complex corporate and commercial litigation techniques and cases using the following topics as a guide: post-merger closing disputes; breaches of fiduciary duties of loyalty and care in the context of shareholder litigation challenging mergers and acquisitions, including settlement of such actions; directors' and officers' liability insurance coverage; and advancement and indemnification disputes. This course satisfies the experiential learning requirement.
