Ethical Standards and Commercial Regulations and Their Impact on Business

Catalog description

The goal of this course is to help students develop a deeper appreciation and understanding of the legal environment in which commercial transactions occur and business organizations operate. Emphasis is placed on ethical and legal principles that certified public accountants encounter in their careers. Topics include, but are not limited to, ethical decision making; intellectual property; corporate governance and responsibility for corporate malfeasance and the detection and prevention of fraud; corporate social responsibility; employment issues, such as workplace privacy and surveillance, diversity, discrimination, and health and safety of workers; product safety and liability for product defects; and sales transactions under the Uniform Commercial Code. The course enhances students’ analytical and communication skills while developing knowledge of several areas of commercial law, including the Uniform Commercial Code, intellectual property law and corporate law. Since each area of commercial law is grounded in ethical principles, students will regularly prepare analyses of case problems applying both legal and ethical underpinnings.
