Catalog description

Corporate finance law is essential for understanding how modern economies function and how corporate power is exercised. Students will examine how law shapes corporate financing in public and private markets, including IPOs, bond issuance, venture capital, and crowdfunding, as well as how financial markets are regulated through disclosure and market abuse rules. The course also addresses takeovers, mergers, insolvency, restructuring, and technological change. Throughout, particular emphasis is placed on the evolving role of corporate finance law in addressing contemporary economic and societal challenges. Open to students from all backgrounds, the course equips those interested in law, business, finance, policy, or public life with the conceptual tools needed to understand how companies access capital, how markets function, and how risk and power are distributed between managers, investors, and society.
