Contract Drafting in an AI World - Thinking Outside of the Box

With the increasing adoption of artificial intelligence as a drafting tool, the role of a transactional attorney is changing at a rapid pace. Tasks that routinely fell to entry level associates can now be automated and are likely to begin to fall under the purview of the paralegal staff. Systems will be programmed to generate documents based on inputs feed into the system by highly trained paralegals as opposed to the current practice of document drafting by young associates under the guidance of more experienced attorneys. The learnings that have historically resulted from hours spent crafting detailed and complex documents must now be transitioned to other formats for educational and training purposes. More importantly, the role of the junior associate must transition from a drafting role to a thinking role. New attorneys can no longer rely on drafting skills alone to make them a valuable addition to a firm and contract analysis, transactional goals, and big picture thinking will become an increasingly important skill for new attorneys. They must be able to demonstrate the ability to take a form document created by artificial intelligence to the next level. They must be able to exhibit skills that cannot be replicated quicker and more efficiently by artificial intelligence tools. They must learn to think outside the box if they wish to succeed as a transactional attorney. Students in this course will learn the basic components found in most contracts as well as structures and provisions in a select set of contract categories. Students will be required to go beyond the contract clause to issue spot in an effort to identify potential legal issues or concerns.
