Catalog description

Students acquire practical experience negotiating commercial transactions in a variety of situations and from different perspectives. Examines, as counsel to a sophisticated lender trying to win the business of a very successful corporation, how to advise the client on negotiating interest rates, collateral and guarantees and how to determine which "asks" are non-starters. Also examines the contrast of how to represent a small, struggling LLC desperate for much-needed financing from a middle-market bank. Explores how to protect the interests of the client in each of these situations, and how to structure a commercial transaction so that all parties believe they've achieved a win/win.
