This course explores the role of private equity investors in global financial markets today. It will focus primarily on venture capital funds but will also discuss buyout funds. Topics will include the structure of private equity funds, as well as private equity compensation arrangements and investment strategies. Students also gain an understanding of private equity fund formation and private equity venture capital portfolio company transactions. The course also discusses the regulatory environment for private equity investors, including with respect to the Securities Act of 1933, the Investment Company Act of 1940, the Investment Advisers Act of 1940, and other relevant laws and regulations, as well as a number of other issues of current interest in the private equity arena.Offered by Law.
