Prerequisite: Corporations Course Requirement: paper or exam Satisfies Upper Level Writing requirement Spring 2015 (evening students only) Fulfills Concentration Elective: Business Law Corporate Reorganizations will examine the bankruptcy and non-bankruptcy alternatives for business enterprises; and with respect to the Foam Corporation the case study will provide students with a great overview of the entire Chapter 11 process from start to finish. The class will discuss initiating a case, duties of counsel and duties of a debtor in possession, the role of the U.S. Trustee and Official Committee of Unsecured Creditors, using cash collateral, obtaining post-petition financing, first-day orders (such as utility orders, payment of wages and payment of critical vendors), dealing with reclamation claims filed by sellers of goods, plan exclusivity, solicitation of votes for a plan, proxy fights in bankruptcy, classification of claims (and equitable subordination), and confirmation of plans.
