Elective Course Enrollment Limit: 20 Course Requirement: paper or exam Satisfies the Upper Level Writing requirement if completing the final paper This course offers students an opportunity to understand and appreciate the governance, compliance and risk management issues facing business corporations, non-profit organizations and public entities. Almost every week, scandals are brought to light by governmental regulators or plaintiffs in litigations alleging failures in governance, compliance and/or risk management by business corporations, non-profit organizations or public entities. Lawyers are called upon to assist clients in the resolution of these scandals and to develop practices, policies and procedures to avoid problems in the future. Governance concepts have historically been created and implemented under state law and by state courts (primarily Delaware), and the course examines the major applicable statutory provisions and court decisions. For the past one hundred years, the primary source of compliance obligations has been federal administrative agencies. The course reviews relevant decisions by the U.S. Supreme Court, Federal Courts of Appeal and federal administrative agencies involving major compliance questions. Issues frequently include the legality of how regulatory agencies operate, the breadth of authority they claim and the procedures they use to regulate. The importance of effective risk management is addressed through failed real-life examples. The course also offers multiple panels of outside experts on these issues. In addition to discussing the applicable substantive issues, these experts often comment generally about career opportunities in both the traditional practice of law and, also, non-traditional arenas where knowledge of the law is preferred, such as in the risk, compliance and internal audit functions.
