Elective Course Course Requirement: exam This course addresses the legal and strategic challenges of entrepreneurship for lawyers who plan to advise entrepreneurs when launching a new enterprise. Entrepreneurs face many challenges as they pursue a new business idea. With the right legal tools, they can take steps that provide significant legal protections and avoid future liability. This course is intended to encompass all phases of the entrepreneurial journey following the progression of a start-up and anticipating its legal and strategic concerns from inception to an initial public offering. This course will cover choice of entity including corporation, limited liability company, partnership, sole proprietorship; structuring ownership, forming and working with a board; raising money and securities regulation; marshalling human resources; contracts and leases; e-commerce and sales; operational liabilities, insurance and compliance; creditor's rights and bankruptcy; venture capital, intellectual property and licensing; going global; buying and selling a business; and going public.
