We will examine these questions by review of the key cases and materials as well as a selection of articles in law reviews and journals proposing reforms. The course will provide students with a background on the unique corporate governance and taxation regimes applicable to non-profit organizations and a framework in which to approach counseling non-profit organizations, serving as a non-profit board member, and understanding the role that the non-profit sector plays in our society. Each student will work with the instructor to prepare a 15-25 page research paper regarding a current topic which will be presented to the class.
