sufficient or has the wealth and power of the sector outpaced the existing oversight mechanisms? We will examine these questions by review of the key cases and materials as well as a selection of articles in law reviews and journals proposing reforms. The course will provide students with a background on the unique corporate governance and taxation regimes applicable to non-profit organizations and a framework in which to approach counseling non-profit organizations, serving as a non-profit board member, and understanding the role that the non-profit sector plays in our society. Each student will work with the instructor to prepare a 15-25 page research paper regarding a current topic which will be presented to the class.
