Catalog description
This course explores the issues surrounding business investment regulation globally. Topics explored will include: the definition of a security, the emergence and regulation of global securities markets, the jurisdictional reach of national and regional securities laws, the regulation of the disclosure of information related to business investments, cooperative enforcement of securities laws, private securities litigation, insider trading regulation, and transnational anti-corruption law. Students will consider and be asked to articulate how international securities law ought to be structured. The course will give students an understanding of how the United States has approached various issues related to securities regulation and to discuss how those approaches have been successful and unsuccessful on the global stage. A business background will be helpful for this course but is not required.
