MERGERS AND ACQUISITIONS examines the law governing corporate mergers and acquisitions and the role lawyers play in advising clients on the structure, documentation and negotiation of transactions. It covers various related legal issues, including fiduciary duties, shareholder voting, dissenters' rights, the Williams Act, and antitrust implications. The course also analyzes from a transactional perspective various forms that mergers and acquisitions may take, including acquisitions of stock, asset acquisitions, mergers, and tender offers. The course will not focus on the tax treatment of such transactions.
