This graduate-level course is designed for professionals seeking to understand and execute mergers and acquisitions across industries. Students explore deal structuring in mergers and acquisitions, focusing on deal structure, transaction structure, and the financial implications, tax implications, and legal implications of each acquisition deal. Emphasis is placed on corporate finance, due diligence, and evaluating whether a stock purchase, asset sale, or other legal structures create the best deal structure for both the buyer and sellers in complex transactions. Spanish language learners may complete this course in Spanish.
